Shes too loved up with Tom Cruise to retake the role, hence Maggie.
Im no comic fanboy so am not too clued up on Dents backstory but I do wonder if they are playing up the Joker (who looks great) to hide Two face being the main threat.

I have no way of knowing exactly why Holmes declined to get involved, but to me this is a casting fuck-up. They should've asked all who'd be playing major roles if they would commit to the assigned characters throughout the entire series.
Minor discontinuity like this isn't such a big deal to me, but the fact they cast someone that looks kinda sorta like Holmes for this one shows that this issue caused some headache for the producers. Depending on how you look at it, it may be much more than a "minor" discontinuity, as she is a character component of Batman/Bruce Wayne.
Luckily, it seems that The Joker will dominate in this one, so hopefully none of the distractions will really matter.

I think it might be because Maggie Gyllenhaal is a good actress and Katie Holmes is not.

I agre whole hearedly with Fafhrd. Holmes was one of the worst parts of Batman Begins. It wasn't that she was spectacularly bad but she didn't look comfortable and had zero chemistry with Bale. Hopefully Gyllenhaal and Bale can get some chemistry going like Downey Jr and Paltrow have in Iron Man.
