Well, Shock 2 was working fine for me up till a few days ago. All of a sudden I couldn't start a new game. Saved games would load just fine, but the new games would simply crash with that lovely "Sorry for the inconvenience" Microsoft bug dump dialog. So, after a few days of reinstall/try-again/game-crash, I finally tried something unconventional:
1.) CTRL-click on LGVID.AX and drag it somewhere to make a backup copy.
2.) Delete LGVID.AX. Remember, you made a backup.
3.) Right-click in the folder and select New -> Text Document
4.) Name the new file LGVID.AX, and just select Yes.
5.) Fire up Shock2.exe. You should be able to start a new game now.
I really hope this helps, seen a lot of posts about XP compatibility issues around the net. I checked the dumped report made by the MS bug thingamjig and saw that LGVID.AX was the root of the problem. Why now, after so many days of playing SS2 without a hitch?? *shrug* Hell if I know. But this might absolve your woes. Works for me. Might even work for Win2K.

Yes I know the thread is old, but if I found it and used it, others will too.
This allows you to play the game, but your cutscenes won't work.
