The way I can see integrating Venom and Sandman would be for Sandman to be the main baddie (at least at the start) and for Spidey to run into Venom while fighting Sandman. Venom has a weird psychology and fancies itself something of a superhero... just more of a GRARR KILL THE BAD GUYS superhero. In fact, that's about as far as Venom's psychology seems to go most of the time: Problem > Destroy Problem > No Problem. Basically, Venom is just a total loose cannon and just as dangerous to have on your side than on the other side.
So yeah, I can see a subplot wherein Eddie Brock or someone discovers and is subsequently infected by / infested with the Venom symbiote and then meets up with Spider-Man while they're both trying to hunt down the relatively innocuous Sandman in a sort of Batman / Catwoman rendezvous a la Tim Burton.
Which'd be a bit weak, but hey. It's all speculation.
Sandman tl;dr:
Dude gets bombarded with gamma ray (lol) -- which, predictably in Ultimates and probably in the movie is swapped for ZOMG GENES AWRY!!! -- and kinda fuses up with the sand under his feets. So now he can turn himself into liquid sand, hard sand, make shapes out of his arms etc etc... the usual stuff. He's an absolutely ANCIENT Marvel villain. I seem to remember him basically being a bit of a bank robber and not a whole lot else, though. Mind you, back in the day it was all about bank robberies.

That'd work, I suppose. Perhaps rather than having Eddie Brock investigate the Sin Eater case, he'll be tracking the Sandman via the Bugle instead and that's how the Spiderman, Venom and Sandman plots can converge. I'm more curious about Sandman's backstory. He basically sounds like a silicon version of the Hulk though.
Okay, make that the Hulk crossed with the T-1000.
