Does any one know of a 3d program with the following features?
able to import:
.cob (truespace)
.md3 (quake 3)
and export:
.md3 (quake 3)

http://www.quick3d.org/) Quick3d perhaps? I don't actually know. I always assumed people used a combination of Gmax and 3d Studio Max for Quake modelling.

I opened the model in there, and it scattered the pieces everywhere, and only one texture is on it...

Importing compiled assets from games is rare.
You could try Milkshapes though:

got a good line on importing weird game files, though I haven't used it myself for many revisions.

Best I can offer is paying for Milkshapes.
It's not that expensive, and you can probably act nice and get someone with a card to do so if you haven't got one.
As I said though, importing compliled game ready assets is really rare, because most people are more concerned with getting them into the game.
I think there's an official id compiler for .md3 that works as a command line tool from some fairly normal formats: most people don't need to get them back because they have the source files it was md3'd from.
